By accessing and using ComplianceAide ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. ComplianceAide reserves the right to modify these terms at any time. Your continued use of the Service following any modifications constitutes acceptance of the updated terms.
ComplianceAide is a software-as-a-service (SaaS) platform that provides automated compliance audits, assessments, reviews, documentation, and remediation recommendations. The Service is designed to help organizations streamline their compliance workflows using artificial intelligence and automation. The Service is provided "as is" without warranties of any kind.
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. By using the Service, you represent and warrant that you meet these eligibility requirements.
To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account. You must notify ComplianceAide immediately of any unauthorized use of your account.
You agree not to use the Service:
ComplianceAide and all content, features, and functionality (including but not limited to software, algorithms, reports, and documentation) are owned by ComplianceAide or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or transmit any content without our prior written permission.
You retain ownership of any data or content you upload to the Service. By uploading content, you grant ComplianceAide a worldwide, non-exclusive, royalty-free license to use, process, and store your content for the purpose of providing the Service. You represent and warrant that you have the right to grant this license and that your content does not violate any third-party rights.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIANCEAIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPLIANCEAIDE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COMPLIANCEAIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
You agree to indemnify, defend, and hold harmless ComplianceAide and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms of Service.
ComplianceAide may terminate or suspend your account at any time, for any reason, with or without notice. Upon termination, your right to use the Service will immediately cease. ComplianceAide may delete your data within 30 days of termination, except as required by law.
These Terms of Service are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the United States for any disputes arising out of these terms.
Any disputes shall first be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.
ComplianceAide reserves the right to modify these Terms of Service at any time. We will notify you of material changes via email or prominent notice on the Service. Your continued use of the Service following notification of changes constitutes acceptance of the modified terms.
If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
